Terms of Service

Introduction

Welcome to a.genti.ca ("a.genti.ca", "we", "us", or "our"), a cloud-based platform for creating AI agents to automate workflows. These Terms of Service ("Terms") govern your access to and use of the a.genti.ca platform, APIs, and any related services provided (collectively, the "Service"). By registering for, accessing, or using any portion of the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, do not use the Service.

Eligibility

You must be at least 13 years old to use the Service. If you are under the legal age of majority in your jurisdiction, you must have your parent or guardian's consent to use the Service.

Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and any API keys or tokens generated or input into the Service. a.genti.ca is not responsible for any unauthorized access resulting from stolen, leaked, or mismanaged API keys or credentials. You are solely liable for any activity conducted through your account, including usage of third-party APIs and any charges incurred therefrom.

Use of External API Keys

a.genti.ca may provide integrations with third-party services (e.g., AI models, media providers) that require API keys supplied by you. You acknowledge and agree that:

AI Agent Overview

a.genti.ca provides a platform to create AI Agents to automate workflows. Agents can perform tasks across a wide variety of integrations, including content generation, data updates, and operational automation.

How the Agent Works

The agent accepts a user prompt and optional context (data, files, references, or configuration). It then performs a series of actions — such as calling integrations, transforming data, or generating outputs — to complete the workflow. Actions may be performed deterministically or via probabilistic model outputs depending on the task and provider.

User Responsibility for Agent Actions

You are solely responsible for how you configure, prompt, and use AI agents and integrations. You acknowledge that agents can behave unpredictably, may take unintended actions, and may produce undesired or inaccurate results. You assume all risks arising from your use of agents, including:

You are responsible for testing prompts, validating outputs, monitoring execution, maintaining backups, and configuring safeguards (such as restricting integrations or endpoints). You must ensure your prompts and agent configuration are precise and safe for the intended operations.

Token Pricing & Billing

The AI agent is billed on a token basis. Different actions consume tokens at variable rates; these rates are disclosed within the application.

Agent Workflows

Workflows describe how the agent completes tasks from discrete steps. A typical workflow includes planning, execution across integrations, validation, and final output delivery.

  1. Planning: interpret the prompt and decide the steps to execute.
  2. Execution: call integrations, generate content, and transform data.
  3. Validation: check outputs or intermediate results for quality or completeness.
  4. Iteration: retry or refine steps when needed.
  5. Delivery: produce final outputs or apply changes in target systems.

Third-party Sub-agents & Integrations

The agent may call multiple third-party providers or model services ("sub-agents") to complete different tasks. When sub-agents are used, we may transmit the prompt, context images, and derived processing cues to them.

Sub-agents may handle specialized tasks such as high-quality video synthesis, TTS, or music generation.

Quality, Retries & Support

AI outputs vary in quality. Multiple attempts may be necessary to obtain a satisfactory result; token consumption applies to each attempt.

Internal Integrations & Provider Credentials

For certain features the AI agent uses a.genti.ca’s internal integrations and provider credentials. For other optional integrations you supply API keys.

Permitted Use

a.genti.ca is provided solely for lawful, non-infringing purposes. You may not use the Service to:

Content Ownership

You retain ownership of any content you create or upload using the Service. However, by using a.genti.ca, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and transmit your content solely to provide the functionality of the Service.

You are solely responsible for the content you upload or generate, including ensuring that you have the necessary rights to use and process such content.

Prohibited Content

You may not use the Service to create or distribute content that:

Service Modifications and Availability

a.genti.ca reserves the right to modify, suspend, or discontinue the Service or any part thereof at any time without prior notice. We are not liable for any loss or inconvenience caused by such modifications or downtime.

Data Retention and Backups

a.genti.ca may store generated and uploaded content for a limited time to facilitate rendering or export. We do not guarantee the retention or availability of content beyond this period. You are responsible for downloading and backing up your content regularly.

a.genti.ca is not liable for any loss of data due to deletion, system failure, or account termination.

Operational Safety and Monitoring

You must monitor agent runs, review outputs, and verify that operations are correct before relying on them. You are responsible for implementing safeguards such as staging environments, limited credentials, and approval steps, and for stopping or editing prompts that could cause runaway usage or unintended actions.

a.genti.ca is not responsible for data loss, undesired results, or external side effects caused by agent actions. You must maintain backups and validate that changes are correct before applying them to production systems.

Logs, Prompts, and Usage Data

When you use the AI agent or other services we may log prompts, context images, usage metadata, token consumption, and generated outputs for billing, debugging, abuse prevention, and service improvement. We may retain aggregated or de-identified usage data indefinitely. See our Privacy Policy for details on data use and retention.

Subscription and Billing

Access to certain features may require a paid subscription. By subscribing, you:

Third-Party Services

a.genti.ca may rely on third-party tools or services (e.g., for AI processing, hosting, or rendering). While we strive for reliability, we are not liable for interruptions or limitations caused by these third parties.

Your use of these external services, whether via API or otherwise, is governed by their respective terms and conditions.

Intellectual Property

All rights, title, and interest in and to the Service (excluding user-generated content) are and will remain the exclusive property of a.genti.ca and its licensors. You may not:

You agree to indemnify, defend, and hold harmless a.genti.ca, its affiliates, officers, employees, contractors, and partners from and against any claims, damages, obligations, losses, liabilities, or expenses (including legal fees) arising from:

Refunds, Billing Disputes and Taxes

Fees, charges, and Tokens are non-refundable. All billing disputes should be raised promptly and will be handled in accordance with our billing procedures and the policies of our payment processors (e.g., Stripe). You are responsible for all applicable taxes associated with your purchases.

DMCA and Copyright Complaints

If you believe Content available on the Service infringes your copyright, please notify us via the contact method below with a takedown notice containing the required information under applicable law. We will respond and take action where appropriate. Repeat infringers may have their accounts terminated.

Data Processing and Privacy

We process prompts, context images, usage metadata, generated outputs, and other information to provide the Service, for billing, abuse prevention, and service improvement. Where a.genti.ca acts as a processor on your behalf (e.g., processing content you upload), you remain responsible as the controller for the legality of such processing and for obtaining any required consents. Security

We implement reasonable administrative, technical, and physical safeguards to protect Content. However, no system is fully secure. a.genti.ca does not guarantee that the Service is invulnerable to attack or unauthorized access. You are responsible for maintaining backups of your Content, rotating credentials, and limiting access as appropriate.

Export Controls and Compliance

You agree to comply with all applicable export and import laws and regulations. You will not use the Service in a manner that would violate export controls, sanctions, or trade embargoes.

Rate Limits, Abuse Prevention and Moderation

We may impose rate limits, quotas, or other usage controls and may suspend access for abusive or otherwise non-compliant behavior. We reserve the right to review, moderate, or remove Content that violates these Terms or that we reasonably suspect is unlawful, abusive, or harmful.

Feedback

If you provide suggestions or feedback about the Service ("Feedback"), you grant a.genti.ca a perpetual, irrevocable, royalty-free, fully sublicensable right to use, modify, and commercialize that Feedback without any obligation to you.

Beta Features

Beta features may be offered for testing. Such features are provided "as-is", may change, may be discontinued at any time, and may have different terms or data handling policies identified when the feature is enabled.

Assignment, Severability, Survival and Entire Agreement

We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in force. Clauses that by their nature should survive termination (including sections on Fees, Intellectual Property, Indemnification, Disclaimer, Limitation of Liability, and Governing Law) will survive termination. These Terms constitute the entire agreement between you and a.genti.ca regarding the Service.

Disclaimer of Warranties

a.genti.ca is provided on an "as-is" and "as-available" basis. We do not guarantee that the Service will be error-free, secure, or uninterrupted. Use of the Service is at your own risk.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This includes any warranty that AI-generated outputs will be accurate, complete, legal, or appropriate for your needs.

Limitation of Liability

To the fullest extent permitted by law, a.genti.ca shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to your use of the Service—even if we have been advised of the possibility of such damages.

In no event shall our total liability exceed the amount you paid us in the 3 months preceding the event giving rise to the claim. This limitation applies also to claims related to AI-generated content, token usage, and third-party integrations.

Force Majeure

a.genti.ca is not liable for failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, acts of terrorism, pandemics, labor disputes, power failures, or disruptions in internet or hosting services.

Termination

We reserve the right to suspend or terminate your access to the Service at any time for violations of these Terms or for behavior that may harm our platform, our users, or third parties.

Upon termination, your right to use the Service will cease immediately, and a.genti.ca may delete your data and content in accordance with our retention policies.

Changes to Terms

a.genti.ca reserves the right to modify these Terms at any time. Updates will be posted on our website with a revised “Effective Date.” Your continued use of the Service after such updates constitutes acceptance of the new Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Montreal, Quebec.
